Service agreement
Terms of Service
Effective August 26, 2026
1. The service
Kordela provides subscription software for marketing, customer relationship management, scheduling, field operations, estimates, payments, reporting, and related business workflows. Features vary by plan and may change as the service improves. Kordela is a workflow tool; it is not legal, tax, accounting, employment, safety, or professional advice.
2. Accounts and authorized users
You must provide accurate account information, protect access credentials, and keep authorized-user access current. You are responsible for actions taken through your account and for configuring roles appropriately. You may not share access outside your organization, exceed plan limits, bypass security, probe the service, introduce malicious code, scrape the service, or use Kordela unlawfully.
3. Your data and responsibilities
You retain ownership of content and business data you submit. You grant Kordela permission to host, process, transmit, back up, and display that data only as needed to provide, protect, support, and improve the service and fulfill your instructions. You confirm that you have the rights and permissions needed to submit and use the data, communicate with contacts, monitor workers where applicable, and connect third-party accounts.
4. Communications, estimates, and business decisions
You are responsible for reviewing messages, campaigns, schedules, estimates, invoices, routes, job costs, tax settings, payroll inputs, and other outputs before relying on or sending them. You are the sender of communications issued for your business and must honor consent, opt-out, recordkeeping, employment, consumer-protection, and industry requirements.
5. Third-party services
Kordela may connect with payment, accounting, advertising, mapping, authentication, email, social, and other services. Your use of those services is governed by their terms. Kordela does not control their availability, decisions, fees, or data practices and is not responsible for third-party changes or outages.
6. Fees and subscriptions
Plan prices, included users, billing frequency, trial length, renewal, cancellation, and third-party fees are disclosed before purchase and further described in the Subscription Terms. Taxes may be added where required. You authorize recurring charges until cancellation takes effect.
7. Availability and changes
We work to keep Kordela reliable but do not promise uninterrupted or error-free operation. Maintenance, security events, network failures, third-party outages, and circumstances beyond reasonable control may affect availability. We may modify or discontinue features, and will provide reasonable notice when a material change substantially reduces paid functionality.
8. Confidentiality and security
Each party will protect nonpublic information received from the other and use it only for the agreement. You must promptly report suspected unauthorized access through Support and cooperate with reasonable investigation and remediation steps.
9. Suspension and termination
We may suspend access when reasonably necessary to prevent harm, address security or unlawful use, comply with law, or resolve overdue payment. We will use reasonable efforts to provide notice and an opportunity to cure when circumstances allow. You may stop using the service and cancel as described in the Subscription Terms.
10. Disclaimers
To the fullest extent permitted by law, Kordela is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee business results, revenue, lead volume, advertising performance, route accuracy, or that use of the service alone satisfies a legal obligation.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data. Kordela's total liability arising from the service will not exceed the fees paid or payable for the service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
12. Indemnity
You will defend and indemnify Kordela against third-party claims arising from your data, communications, products or services, violation of law, or misuse of Kordela, except to the extent caused by Kordela's breach or willful misconduct.
13. Disputes and general terms
Before filing a claim, each party will give written notice through the Support Center and allow 30 days for good-faith resolution. Applicable governing law and forum will be determined by mandatory law and the location of the Kordela contracting entity identified on the customer's order or invoice. These terms, the Privacy Policy, Subscription Terms, and any order form are the complete agreement. If a provision is unenforceable, the rest remains effective. Neither party may assign the agreement without consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets.
14. Contact
Questions, notices, and accessibility requests may be submitted through the Kordela Support Center.
